By using the Code UTH website or services in any manner, you agree to be bound by these Terms of Service, as well as the Incorporated Terms identified below (collectively, the “Terms”). If you do not agree to the Terms, please do not use the Code UTH website or services. If you are accepting these Terms on behalf of a company, organization, government, or other legal entity, you represent and warrant that:
(a) you are authorized to do so, (b) the entity agrees to be legally bound by the Terms, and (c) neither you nor the entity are barred from using the services or accepting the Terms under the laws of the applicable jurisdiction.
Minimum Age. The services and website of Code UTH are available only to individuals who are of the age of majority and can form legally binding contracts under applicable law. Specifically, the services and website are not intended for use by individuals under the age of 18. If you do not meet this criterion, please do not use the services or access the website.
Registration. To use the services, you must create an account (“Account”) by registering with Code UTH. This may require you to provide a valid payment method that you are authorized to use for purchasing services. You agree to provide true, accurate, current, and complete information during the registration process and to update this information as necessary to maintain its accuracy. As part of the registration process, you will provide Code UTH with a username and password for your account (collectively, “Account Credentials”). Code UTH reserves the right to refuse registration or cancel accounts that violate these Terms or Code UTH’s Acceptable Use Policy.
This agreement pertains solely to the Services provided and does not grant you a license to any software. Unless explicitly allowed by applicable law, you are prohibited from directly or indirectly engaging in the following activities: reverse engineering, decompiling, disassembling, or attempting to uncover the source code, object code, or underlying structure, ideas, or algorithms of the Services or any related software, documentation, or data ("Software"). You are also forbidden from modifying, translating, or creating derivative works based on the Services or any Software; copying (except for archival purposes), distributing, pledging, assigning, or otherwise transferring or encumbering rights to the Services or any Software; using the Services or any Software for timesharing or service bureau purposes or for the benefit of a third party; and removing any proprietary notices or labels.
Each User is Responsible for:
Ensuring that all necessary licenses and registrations are valid and up-to-date to conduct the sale/purchase of products.
The acquiring bank will authenticate, authorize, and process the payment instructions given by the payer in respect of a transaction upon fulfillment of valid criteria as set forth by the acquiring bank from time to time. Accordingly, the bank will transfer the approved transaction amount from the payer’s bank account to the designated account in accordance with the RBI guidelines.
In consideration of the services rendered to the user, the user shall pay a fee as agreed upon in the fee schedule defined in the merchant agreement or proposed over email to the registered email address.
The transaction fees plus service tax will be deducted per successful transaction, and the balance of the transaction amount will be paid to the user/payee’s designated bank account. All other taxes, duties, or charges shall be borne and paid by the user unless otherwise agreed between the parties. The company reserves the right to alter, modify, or change the discount/commission rate at its discretion. The company also reserves the right to revise the transaction fee payable in the event of any revision in the rates charged by the acquiring banks, card associations, or guidelines issued by the RBI from time to time.
Subject to the provisions stated herein and as specified from time to time, the user will not hold us liable in case of any improper, fraudulent, unauthorized, duplicate, or erroneous use of their mobile and/or web-based access. We will also not be liable for any consequences connected with the use or misuse of the user’s mobile or email account by any third party. If any third parties gain access to the services, the user will be responsible and shall indemnify us against any liability, costs, or damages arising out of such misuse or use by third parties based upon or relating to such access and use, or otherwise.
The user shall be fully liable for:
(a) any unauthorized use of their mobile or email account; and/or
(b) all authorized transactions on their mobile or email account.
Without prejudice to the remedies available to us and these terms, we shall be under no liability whatsoever to the user in respect of any loss or damage arising directly or indirectly out of:
If either Code UTH or the service provider suspects, on reasonable grounds, that a user has committed a breach of these terms or any other agreement with Code UTH, or any act of dishonesty or fraud against Code UTH or any service provider, Code UTH shall be entitled to:
(A) Suspend all payments under these terms;
(B) Deactivate/suspend your user account and disable your password; and
(C) Terminate the user’s access to the website or the services with or without giving any notice of such termination to the user; pending inquiries by Code UTH.
A user may cancel their account at any time by sending an email to Code UTH. Please note that once your account is cancelled, Code UTH does not have any obligation to return any data or information that may reside on its servers or other equipment.
